Portia Coffie
Portia is a partner at Legal Anchor. She has 21 years of professional experience in corporate governance and regulatory compliance, investment and labour laws. Portia has developed a niche for herself over the years in corporate legal advisory and consulting work. She is also an experienced boardroom practitioner and had been trained by the International Finance Corporation (IFC) on corporate governance. Portia has advised several corporate clients on matters relating to corporate governance and compliance; company law and practice procedures at board and shareholders’ meetings; provided legal advisory services to investors on general and specific laws as well as assisting investors to establish corporate presence in Ghana. She has provided legal opinions on a wide-range of legal matters including labour, investment and immigration matters, corporate structuring and re-structuring, company secretarial and legal due diligence, de-registration, liquidation as well as general legal advice.
Portia has also reviewed and drafted an array of legal documents and agreements, including shareholders’ agreements, share sale and purchase agreements, Management and Technical service agreements (technology transfer agreements), joint ventures, employment contracts and loan agreements, declaration of trust, employment contracts just to mention a few. Portia has provided Registrar services and managed the shares and kept proper record of share movements for a public limited liability company with about 120 shareholders.
Portia has also handled a wide array of corporate transactions including corporate restructuring; legal audits, rights issue; share purchase transactions; share acquisition transactions; private liquidations; and corporate restructuring; and part of a team of lawyers on mergers and acquisitions.
Portia’s has attended several seminars, conferences and training programmes organised by the Securities and Exchange Commission, the Ghana Investment Promotion Centre (GIPC), the Office of the Registrar of Companies (ORC) and Corporate Law Institute. She has also been trained on Anti-Money Laundering and Financing of Terrorism. She holds a Bachelor of Laws (LL.B) degree from the University of Ghana and a Master of Laws (LL.M) degree from the University of Leicester in the United Kingdom in Labour Relations (Labour Law).
